CP 21E is a "We Changed Your Account" notice that advises of a "credit" on the "account". Although there is generally no need to respond, the CP 21E will most likely contain administrative failures, and a response detailing these deficiencies, and affording IRS the opportunity to correct, is helpful to demonstrate your insistence upon IRS' full compliance with the law.

CP 22E is the "We Changed Your Account" notice. It announces that the "change" is from an audit you may or may not have known about, resulting in an "increase in tax" and provides a toll-free number to call "If you do not agree..." Although there is a suggestion to pay by a certain date "to avoid additional penalty and interest", no hard deadline is imposed. A response detailing the administrative failures of the CP 22E, and offering IRS time and opportunity to correct these deficiencies is helpful to demonstrate your efforts to meet any lawfully-imposed obligation (and to determine whether such obligation actually exists).
